1. Acceptance of Terms

By creating an account, accepting an invitation, or otherwise accessing or using Nüdge (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and the organization.

2. Description of Service

Nüdge, a product of Technovative Digital Private Limited OPC, is a customer relationship management (CRM) platform that includes a web application and an Android mobile application. The Android app requires certain device permissions (including call log access) to enable automatic call logging features described in our Privacy Policy.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@technovative.in if you suspect unauthorized access to your account.
• You must provide accurate, current, and complete information when registering and keep it updated.
• You may not share your account credentials with others or create accounts on behalf of others without authorization.

4. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to store or process data in violation of applicable privacy laws (including obtaining leads' contact data without lawful basis)
• Upload malicious code, viruses, or anything that may compromise the Service or other users
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to send unsolicited bulk communications (spam)
• Resell, sublicense, or otherwise commercially exploit the Service without our written permission
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

5. Android App Permissions

The Android application requests the READ_CALL_LOG permission to automatically detect calls made to CRM contacts and log them on your behalf. By installing and using the app with this permission granted, you acknowledge and agree that:

• You have the authority to grant this permission on the device used.
• The call log data accessed will be processed as described in our Privacy Policy.
• You will not use the call-logging feature in a way that violates applicable privacy or employment laws in your jurisdiction (e.g., you are responsible for ensuring your sales team is informed that calls are being logged).

6. Your Data

You retain ownership of all CRM data (leads, contacts, notes, etc.) that you input into the Service. By using the Service, you grant us a limited licence to store, process, and display that data solely to operate and improve the Service for your account.

We do not claim any intellectual property rights over your data. You can export your data at any time through the Service or by contacting us.

7. Subscription & Trial

New accounts start on a free trial period. After the trial expires, continued access requires a paid subscription. Subscription fees, billing cycles, and payment terms will be communicated to you within the Service. We reserve the right to change pricing with reasonable notice.

Failure to pay may result in suspension or termination of your account, subject to applicable law.

8. Intellectual Property

The Service, including its software, design, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or other branding.

9. Termination

Either party may terminate the Service relationship at any time. You may close your account by contacting us. We reserve the right to suspend or terminate your access immediately if you breach these Terms or engage in conduct that may harm us, other users, or third parties.

Upon termination, your right to use the Service ceases. We will handle your data in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, availability, or error-free operation. We do not guarantee that the Service will be uninterrupted or that data will never be lost.

11. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the Service and, where appropriate, sending an email notification. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.
